1. Agreement to Terms

By accessing or using OMC Investments platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

OMC Investments LLC is a company registered in the Dubai International Financial Centre (DIFC) and regulated by the Dubai Financial Services Authority (DFSA) under registration number XXXXX.

2. Eligibility

To use our Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be barred from using the Platform under UAE laws or any applicable jurisdiction

3. Investment Services

OMC Investments provides access to investment opportunities in real estate, sukuk bonds, and startup ventures. All investments are subject to:

• Minimum investment amounts as specified for each opportunity
• Investment holding periods and lock-up terms
• Management fees and performance fees as disclosed in offering documents
• Applicable taxes and regulatory charges

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Provide accurate and complete information during registration
• Keep your account information up to date
• Notify us immediately of any unauthorized access or security breach
• Use strong passwords and enable two-factor authentication where available

5. Fees and Charges

OMC Investments charges fees for its services, including but not limited to:

• Management fees: Typically 1-2% annually of assets under management
• Performance fees: 20% of profits above agreed hurdle rates
• Transaction fees: As disclosed in specific investment documentation
• Withdrawal fees: May apply for early withdrawals from certain investments

All fees are clearly disclosed before you commit to any investment.

6. Investment Risks

All investments involve risk, including the possible loss of principal. Past performance does not guarantee future results. You should carefully review all risk disclosures before making any investment decision.

7. Regulatory Compliance

OMC Investments operates in compliance with:

• UAE Federal Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism
• DFSA Rules and Regulations
• Securities and Commodities Authority (SCA) regulations
• FATCA and CRS reporting requirements

8. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of OMC Investments or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

To the fullest extent permitted by law, OMC Investments shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Platform or any investment made through the Platform.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC). Any disputes shall be resolved through arbitration in accordance with DIFC-LCIA Arbitration Rules.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
